4. User Responsibilities
You agree to use our services only for lawful purposes and to provide accurate and complete information necessary for the project.
5. Payments & Refunds
All prices are listed in GBP. Payment terms are as set out in your invoice and applicable service agreement. Refunds are subject to the scope and stage of the project; please review our Refund Policy for details.
6. Intellectual Property
You retain rights to your content. UseCodify retains rights to tools, libraries, boilerplate code, or other intellectual property not explicitly transferred in writing. After full payment, UseCodify grants you a license to use the project deliverables as agreed in the contract.
7. Privacy & Data Processing Agreement (DPA)
This section forms our Data Processing Addendum (DPA) under Article 28 of the UK/EU GDPR and other applicable laws. It explains how UseCodify processes personal data on behalf of clients.
a. Definitions
Client: Data Controller — the organisation engaging UseCodify.
UseCodify: Data Processor — UseCodify Ltd and/or UseCodify India acting as processors.
b. Scope of Processing
We process personal data only as necessary to:
- Provide services to you
- Comply with legal obligations
- Improve and secure our services
c. Types of Data
We may handle:
- Contact info (name, email)
- Website analytics (via cookies)
- Project materials (documents, assets provided by the client)
d. Subprocessors
We use GDPR-compliant third-party subprocessors to deliver services, including:
- Google Workspace (email, docs)
- Stripe (payments)
- Zoho Mail (communications)
- AWS, Hostinger, Namecheap (hosting)
e. Security Measures
We implement reasonable technical and organisational measures such as:
- Two-factor authentication (2FA) on internal tools
- Encryption in transit and at rest
- Role-based access control
f. International Transfers
Cross-border transfers of personal data are performed under standard contractual clauses or based on adequacy decisions where applicable.
g. Rights of Data Subjects
Data subjects may request: access, correction, deletion, or withdrawal of consent. Requests should be routed to the Client (controller) or to UseCodify where appropriate.
h. Breach Notification
Where a personal data breach occurs, UseCodify will notify affected Clients and relevant authorities within 72 hours of becoming aware, where required by law.
i. Data Return or Deletion
On contract termination, personal data will be returned or securely deleted according to the Client’s instructions, unless legal retention requirements apply.
8. Third-Party Services
Our site or deliverables may include third-party tools or integrations. Your use of those services is subject to their terms and policies.
9. Limitation of Liability
UseCodify is not liable for indirect, incidental, consequential, or special damages. Our aggregate liability for direct damages is limited to the total amount paid by you to UseCodify in the prior 12 months.
10. Termination
Either party may terminate the agreement with written notice. Outstanding payments for work performed remain due upon termination.
11. Governing Law
For UseCodify Ltd: English law applies and disputes are subject to the courts of London.
For UseCodify India: Indian law applies and disputes are subject to the jurisdiction of Tamil Nadu courts.
